BY-LAWS
DEARBORN FEDERATION OF NEIGHBORHOOD ASSOCIATIONS

ARTICLE I NAME:

Section 1. The name of the organization shall be known as the Dearborn Federation of Neighborhood Associations hereinafter referred to as the Federation.

Section 2. The jurisdiction of The Federation shall include the entire City of Dearborn.

Section 3. This organization shall incorporate as a Michigan Non-Profit Corporation under Act 327 of the Public Acts of 1931, as amended.

Section 4. The principal offices of the corporation in the State of Michigan shall be located in the City of Dearborn, County of Wayne, and shall be the address of the current President of the Federation.

ARTICLE II. OBJECTIVES:

Section 1. To advance the interests and welfare of the residents and property owners in the City of Dearborn; to ensure the maintenance and upkeep of all properties in the City; to assist in the enforcement of building, zoning and other applicable city ordinances and state laws; to work for the construction of necessary public and private improvements within the City; and to act on all other matters of relevance to the residents and property owners of the City.

ARTICLE III. MEMBERSHIP:

Section 1. The membership of the Dearborn Federation of Neighborhood Associations shall consist of (a) the organized homeowners and residential property associations functioning within the City of Dearborn, having a membership of five (5) or more bona-fide members.

Section 2. Associate (Citizen) membership not otherwise represented by an active or inactive Association may also be members. They must be residents in the area they represent.

ARTICLE IV. DUES:

Section 1. The annual dues of each member shall be twenty (20) dollars payable in January each year. If dues remain delinquent for a period of three (3) months or more, such member shall not be entitled to a vote, and if dues remain delinquent for a period of a year or more, such member shall be deemed to have forfeited its right to membership herein and the secretary shall give notice to that effect upon approval of executive board.

ARTICLE V. FISCAL YEAR:

Section 1. The fiscal year shall begin January 1 and end December 31.

ARTICLE VI. MEETINGS:

Section 1. The Federation shall meet the first Wednesday of each month, except for July and August.

Section 2. Special meetings may be called by the President, or by three (3) or more members after notifying the President.

Section 3. Except as indicated in Section 2 above, written notice of regular meetings will be given to members at least five (5) days prior to the meeting.

Section 4. All meetings of The Federation shall be conducted in accordance with Robert's Rules of Order.

Section 5. The following order of business shall be observed at the meetings of The Federation:

    1. Calling the meeting to order.
    2. Introductions when necessary.
    3. Approval of minutes of the last regular or special meeting.
    4. Reports of officers and committees.
    5. Elections when due.
    6. Unfinished business.
    7. New business.
    8. Adjournment.

Section 6. All qualified members present at any meeting shall have an equal right to vote upon any questions or matter submitted to The Federation in its regular or special meetings, unless an associate (citizen) member's vote on a given question is challenged, it must be upheld by a two-thirds majority vote of the Federation members present at the meeting.

Section 7. At its meeting in December, The Federation will hold an election of officers for the forthcoming year.

Section 8. At its meeting in December, the Treasurer will issue his/her financial report of The Federation for the year.

ARTICLE VII. POLITICAL ACTIVITY:

Section 1. The Federation shall be non-partisan. No member shall, in any way commit The Federation to support any candidate or political part for elective office.

ARTICLE VIII. OFFICERS:

Section 1. Any member in good standing shall be eligible to hold office. The officers of The Federation shall be President, Vice President, Secretary, and Treasurer.

Section 2. Election and term of office: All Officers shall be elected to a one-year term. Only candidates from the membership are eligible for election to office.

Section 3. President: The President shall be the presiding Officer at all regular and special meetings of The Federation. He/she may sign, with the Secretary or any other duly authorized officer of The Federation, and deeds, papers, contracts, and/or reports required by law or authorized by the members. The President will perform all duties incident to the office of the President, and such other duties as may be prescribed by the members. He/she shall be an ex-officio member of all committees.

Section 4. Vice President: In the absence of the President, the Vice President shall preside, and discharge the duties of the President. He/she shall perform any other duties as may be assigned by the President.

Section 5. Treasurer: The Treasurer shall duly and faithfully keep account of any and all monies of The Federation and shall disburse said funds in accordance with directions from the members. The funds shall be deposited in a banking institution and be withdrawn by check signed by either the Treasurer or the President, or with any other officer designated by the members. The Treasurer shall perform any other duties as may be assigned by the President.

Section 6. Secretary: The Secretary shall record the minutes of the meetings of The Federation and shall complete required correspondence. The Secretary shall keep an accurate roster of the names and addresses of all members. The Secretary shall be custodian of the records and generally shall perform such duties incident to the office of Secretary, and any other duties as may be assigned by the President.

ARTICLE IX. QUORUM:

Section 1. A quorum of The Federation shall consist of a representative majority of the member associations.

ARTICLE X. COMMITTEES:

Section 1. The President shall appoint all Committee Chairpersons as required for all projects undertaken by The Federation.

ARTICLE XI. NEIGHBORHOOD ASSOCIATION RESPONSIBILITIES:

Section 1. It will be each Associations obligation to attempt to resolve its own individual problems by contacting the responsible officials of the City Administration, or other appropriate officials before requesting assistance of The Federation.

Section 2. The Federation, upon majority vote, will assist and support the Association after it is satisfied all reasonable efforts and actions by the Association have been explored or exhausted.

ARTICLE XII PROPERTY AND ASSETS DISPOSITION:

Section 1. Ownership of all property belonging to The Federation shall be vested in the active membership, and in case of dissolution, after the payment of all debts and charges against said Federation, shall be donated to such neighborhood and/or charitable organizations as the membership shall direct, provided, however, that the recipient or recipients must qualify as exempt institutions under the Federal Internal Revenue Code.

ARTICLE XIII. AMENDMENT:

Section 1. These By-Laws may be altered, amended, repealed, or annulled. Proposed changes shall be presented at a regular scheduled meeting and recorded in the minutes of that meeting. No further action may be taken on the proposed changes until the next regular meeting. When brought to the floor for a member's vote, a two-thirds voting majority will be necessary for adoption of the proposed change.

IN WITNESS WHEREOF, and following approval of the membership on the 6th day
of October, 2004, as provided in existing By-Laws, we certify that the aforesaid
shall be effective as the By-Laws of the Dearborn Federation of Neighborhood Associations
of Dearborn.

 ARTICLES OF INCORPORATION

OF THE

DEARBORN FEDERATION OF NEIGHBORHOOD ASSOCIATIONS

ARTICLE I

NAME

 Section 1 - Name:   The name of the federation shall be, "DEARBORN FEDERATION OF NEIGHBORHOOD ASSOCIATIONS," a voluntary non-profit organization of Dearborn neighborhood associations and citizen representatives from areas of Dearborn not covered by neighborhood associations which are members of this Federation.

ARTICLE II

PURPOSE

Section 1 - Purposes:    To promote the welfare of the members of the associations represented herein in problems of housing, transportation, sanitation, taxation, building restrictions, streets, sidewalks, schools and all other non-political matters of public interest of the several associations comprising this federation in person and property, and to advance the welfare of the City of Dearborn.

ARTICLE III

MEMBERSHIP

Section 1 - Qualifications:    The membership of the Dearborn Federation of Neighborhood Associations shall consist of (a) the organized home owners and residential property associations functioning within the City of Dearborn, having a membership of five (5) or more bona-fide members, and (b) associate (citizen) representatives.

1.    All citizen representatives covering such areas shall be residents in the areas they represent.

Section 2 - Rights:  All qualified members present at any meeting shall have an equal right to vote upon any question or matter submitted to the federation in its regular or special meetings, unless an associate (citizen) representative’s vote on a given question is chal­lenged by a neighborhood association delegate. If there is such a challenge, it must be upheld by a two-thirds majority vote of the neighborhood association delegates present at the meeting.

ARTICLE IV

DUES

Section 1 - Dues of Representative of Association:

                                    The annual dues of each representative shall be twenty (20) dollars payable by the association represented, which dues shall be paid upon admission of such association at the time it is received into membership.  If dues remain delinquent for a period of three (3) months or more, such representatives shall not be entitled to a vote, and if dues remain delinquent for a period of a year or more, such individual association shall, be deemed to have forfeited its right to membership herein and the secretary shall give notice to such association to that effect upon approval of the executive board of the Federation.

Section 2 - Dues of Associate (Citizen) Representative:

                                    No dues shall be assessed for citizen represent­atives unless they intend to maintain the right to vote on any and all issues, in which case they will be assessed a membership fee of ten (10) dollars per year.

ARTICLE V

OFFICERS

Section 1 - Elected:

                                    The officers of the federation shall consist of a president, vice-president, secretary and treasurer, who shall be elected at the regular December meeting and who shall hold office for a period of one year. The office of secretary and treasurer may be held in one person.

Section 2 - Duties:

                                    The duties of the officers herein named shall be the usual and customary duties as usually appertain to he respective offices.

Section 3 - Tenure of Office:

                                    For just cause and with five (5) days due notice, the representatives may, by a two-thirds majority vote of a meeting attended by a minimum of 17 previously qualified members, to remove any officer from office. Any vacancy may be filled by the representatives at any regular or special meeting called for that purpose, by the same majority.

Section 4 - Limitation on Candidates:

                                    All federation officers must be paid Federation delegates.

ARTICLE VI

QUORUM

Section 1 - Federation:

                                    A quorum of the federation shall consist of a representative majority of the member associations. This shall, be verified by a roll call which will become a part of the minutes of the meeting. A quorum shall consist of seventeen paid memberships.

ARTICLE VII

COMMITTEES

Section 1 - Determined:

                                    The standing committees of the federation shall be such as shall be from time to time determined by the President.

Section 2 - Appointed:

                                    Any special committees of the Federation may be determined by the President.

Section 3 - Appointed:

                                    Committees shall be appointed by the President.

ARTICLE VIII

MEETING PROCEDURES

Section 1 - Procedure:

                                    All meetings of the Federation shall be conducted under the forms and regulations set forth in Robert’s Rules of Order.

Section 2 - Order:

                                    The following order of business shall be observed at the meetings of this federation:

                                                (a) Calling the meeting to order
            (b) Introductions when necessary
            (c) Approval of minutes of the last regular or special meeting
            (d) Reports of officers and committees
            (e) Elections when due
            (f) Unfinished business
            (g) New business
            (h) Adjournment

ARTICLE IX

AFFILIATING ASSOCIATIONS

Section 1 - Approval:

                                    Individual associations desiring to become members of this federation shall be first approved by the Board of Directors and voted upon by the federation.

ARTICLE X

DUTIES OF AN ASSOCIATE REPRESENTATIVE

Section 1                    A citizen representative will gain some prestige and a liberal education in city affairs through his federation membership, and, in return for such potential gain, he should attempt to accomplish the following services for the federation membership.

Section 2                    He should study his neighborhood boundaries and become thoroughly familiar with all city areas within those boundaries.

Section 3                    He should become especially familiar with any section or situation in his area which might contribute to deterioration potential in Dearborn.

Section 4                    He should study his area in an effort to determine neighborhood improvements which federation action might gain for his area.

Section 5                    He should become familiar with city problems, and projects, so that he can take an intelligent part in federation discussion of such subjects.

Section 6                    Last, but not least, he should attempt to attend federation meetings regularly, and be prepared to answer any questions which might arise concerning his area.

ARTICLE XI

OBLIGATION

Section 1 - Restriction:

                                    This federation shall not obligate any of the member associations without their written consent, except as to dues herein provided for.

ARTICLE XII

Section 1 - Procedure:

                                    These articles may be amended in the following manner:

(a) Any member may file with the secretary a proposal to amend any article herein, which amendment shall be considered by the Executive Board, who shall report to the federation at its next meeting.

(b) The Executive Board may recommend alterations, additions or amendments upon its own initiative.

(c) Five day notice of such proposed amendments of amendments shall be given by the secretary in writing to the representatives prior to the regular meeting or special meeting at which the same is to be voted upon.

(d) A two-thirds vote of the members of the federation present and voting shall be required for the adoption of any amendment.

ARTICLE XIII

MEETINGS

Section 1 - Frequency:

                                    The regular meeting of the Dearborn Federation of Neighborhood Associations shall be held in the month of January and every month thereafter, the tentative day being the first Wednesday of each meeting month unless otherwise notified, except that, unless called by the President or officer acting in the President’s absence, there shall be no regular meeting in July or August.

Section 2 - Authorization:

                                    A special meeting of the federation may be called under the following conditions:

(a) At the direction of the President or by three or more members after notifying the president
(b) By a majority of the member associations when submitted in writing with notice to the President
